Terms & Conditions

All engagements with Visionary Business Technologies LLC are governed by these Terms and an executed Statement of Work (SOW). Any alteration, addition, or feature request exceeding the written specifications of the SOW constitutes a scope change and will be quoted separately as an engineering amendment.

Services are billed according to the agreed package or milestone schedule set forth in the SOW. Standard implementations require a mobilization deposit prior to commencement, with subsequent milestone payments due upon completion of staging benchmarks. Invoices must be paid within fourteen (14) calendar days of receipt.

Upon receipt of full payment, all custom scripts, middleware code, integration connectors, and technical documentation produced specifically for the client transfer entirely to client ownership. Pre-existing proprietary libraries, reusable frameworks, and third-party open-source components remain subject to their respective foundational licenses.

Both parties agree to protect and keep strictly confidential all proprietary software architectures, business methods, client databases, and commercial information disclosed during the engagement, exercising no less than standard commercial care.

Client acknowledges that artificial intelligence and machine learning technologies are probabilistic systems. While Visionary Business Technologies LLC implements industry-standard validation, error handling, and threshold guards, the Company cannot warrant 100% error-free outputs from generative models. The client retains final operational responsibility for business decisions executed via automated systems.
